Terms & Conditions

1. Parties

These Terms & Conditions govern the relationship between Listify Agency (operated by Vipul Saini, hereinafter “Listify”, “we”, “us”) and any individual or entity (“Client”, “you”) that uses this website or engages our services.

2. Services

Listify Agency provides:

• Custom website development
• Factory ERP and business software
• AI integration and automation
• WhatsApp CRM and automation
• Brand identity and graphic design
• Google SEO and digital marketing
• Analytics dashboards and reporting

Specific deliverables, timelines, and pricing for each project are agreed in writing via WhatsApp or email before work commences.

3. Payment Terms

• 50% upfront before work begins
• 50% on delivery — upon client approval of final deliverables
• Payment accepted via bank transfer, UPI, or agreed method
• Invoices are due within 3 business days of issue
• Work will not begin until the advance payment is received and confirmed

4. Refund & Cancellation Policy

4.1 Cancellation by Client

• Cancellation before work begins: Full refund of advance payment
• Cancellation within 7 days of kickoff: 50% refund of advance if less than 25% of work is complete
• Cancellation after 7 days or after 25% completion: No refund of advance payment. Work completed to date is billable.

4.2 7-Day Design Guarantee

If you are not satisfied with the initial design concept within 7 days of delivery, we will provide one complete redesign at no additional cost. This guarantee covers visual design, not functional requirements changes.

4.3 Cancellation by Listify

Listify reserves the right to cancel a project if the client is unresponsive for more than 14 days, provides false information, or requests illegal or unethical content. In such cases, a proportional refund will be issued.

5. Intellectual Property

• Upon receipt of final payment, all custom code, design files, and assets created for the project are fully transferred to the client
• Listify retains the right to display the project in our portfolio unless the client requests otherwise in writing
• Pre-existing tools, frameworks, and third-party libraries used (GSAP, Anime.js, etc.) remain under their respective open-source licenses
• The client warrants they have rights to all content (logos, images, text) they provide to us

6. Client Responsibilities

• Provide content, feedback, and approvals within agreed timelines
• Pay invoices on time
• Provide accurate business information
• Maintain the website and systems after handover
• Not use deliverables for illegal, defamatory, or harmful purposes

7. Delivery & Timelines

• Delivery timelines are estimates agreed at project kickoff
• Delays caused by client (late feedback, missing content, non-payment) extend deadlines proportionally
• If Listify misses a deadline by more than 7 days without a valid reason, that deliverable will be provided at a discount as agreed with the client

8. Warranties & Support

• 90-day bug warranty: Any bugs or errors in delivered code will be fixed within 24 hours at no cost
• Warranty does not cover: changes to requirements, third-party service failures, client-made modifications, or hosting issues
• Support beyond the warranty period is available at agreed rates

9. Limitation of Liability

Listify’s total liability for any claim arising from services shall not exceed the amount paid by the client for the specific project in dispute.

Listify is not liable for: loss of revenue, loss of data, consequential damages, or damages caused by third-party services (hosting providers, Google, WhatsApp, etc.).

10. Confidentiality

Both parties agree to keep business information, project details, and pricing confidential unless required by law. This obligation survives termination of the engagement.

11. Dispute Resolution

• Disputes will first be addressed through direct negotiation via WhatsApp or email
• If unresolved within 30 days, disputes may be referred to mediation
• These terms are governed by the laws of India. Courts in New Delhi have jurisdiction.

12. Website Use

• You may use this website for lawful purposes only
• You may not scrape, copy, or redistribute content without written permission
• Automated bots or tools that overload our systems are prohibited

13. Third-Party Links

Our website contains links to third-party sites (WhatsApp, LinkedIn, Google). Listify is not responsible for their content or privacy practices.

14. Changes to Terms

We may update these terms. The “Last Updated” date will change accordingly. Continued use of our services constitutes acceptance.
